1. Agreement to Terms
These Terms and Conditions (“Terms”) form a binding agreement between you, the business or individual using the service (“you”, “your”, or the “Customer”), and ScrapFlow (“ScrapFlow”, “we”, “us”, or “our”). By registering for, accessing, or using the ScrapFlow application, website, or related services (collectively, the “Service”), you confirm that you have read, understood, and agree to be bound by these Terms.
If you do not agree to these Terms, you must not access or use the Service. If you are accepting these Terms on behalf of a business, you confirm that you have the authority to bind that business to these Terms.
2. The Service
ScrapFlow provides cloud-based business management software designed for scrapyards and recycling businesses, including inventory tracking, customer management, transaction records, reporting, and related features. The Service is provided on a subscription basis and may be updated, modified, or enhanced from time to time.
We may add, change, or remove features at our discretion. While we aim to give reasonable notice of material changes, we are not obligated to maintain any particular feature indefinitely.
3. Accounts, PINs, and Security
To use the Service you must create an account and maintain accurate, up-to-date registration information. Access to the Service is controlled through user accounts and PINs. You are responsible for:
- Keeping your PINs and account credentials confidential and secure;
- All activity that occurs under your accounts and those of your staff users;
- Promptly notifying us of any suspected unauthorised access or security breach affecting your account.
You must not share credentials with unauthorised persons. We are not liable for any loss arising from your failure to safeguard your credentials.
4. Subscriptions, Fees, and Payment
The Service is offered under monthly or yearly subscription plans. Fees are quoted in South African Rand (ZAR) and are payable in advance by Electronic Funds Transfer (EFT) using the banking details we provide after registration.
- Your account is activated once we confirm receipt of your payment. We are not obligated to provide access before payment is confirmed.
- Subscriptions renew for successive billing periods unless cancelled before the start of the next period.
- Unless required by law, fees already paid are non-refundable, including for partially used billing periods.
- We may change our pricing. Price changes will not affect the billing period already paid for and will apply from your next renewal.
5. Acceptable Use
You agree not to, and not to permit any user to:
- Use the Service for any unlawful, fraudulent, or harmful purpose;
- Attempt to gain unauthorised access to the Service, other accounts, or our systems and networks;
- Reverse engineer, copy, resell, or attempt to extract the source code of the Service except to the extent permitted by law;
- Introduce viruses, malware, or any code intended to disrupt or damage the Service;
- Use the Service in a way that overloads, impairs, or interferes with its normal operation.
We may suspend or terminate access for any breach of this section without liability to you.
6. Your Data and Records
You retain ownership of the business data you enter into the Service (“Customer Data”). You grant us the limited right to host, process, and transmit Customer Data solely to provide and support the Service.
You are solely responsible for the accuracy, quality, and legality of your Customer Data and for ensuring you have the right to record and process it (including information about your own customers and suppliers). You are responsible for complying with all laws applicable to your business, including record-keeping, tax, and anti‑money‑laundering obligations relating to the buying and selling of scrap and metals.
While the Service includes cloud sync and offline capabilities, you remain responsible for maintaining your own independent records and backups of critical business information.
7. Service Availability and Maintenance
We work to keep the Service available and reliable, but we do not guarantee that the Service will be uninterrupted, error‑free, or available at any specific time. The Service may be temporarily unavailable due to maintenance, updates, technical issues, or factors beyond our reasonable control, including internet connectivity, third‑party providers, power supply, or events of force majeure.
Any uptime figures, statistics, or estimates shown in our marketing material are indicative only and do not constitute a guarantee or warranty.
8. Disclaimer of Warranties
To the maximum extent permitted by law, the Service is provided on an “as is” and “as available” basis, without warranties of any kind, whether express or implied. We do not warrant that the Service will meet your requirements, that it will be free of defects, errors, or bugs, or that any data, report, calculation, or output produced by the Service will be accurate or complete.
You are responsible for verifying any figures, reports, and records before relying on them for business, financial, tax, or legal decisions. ScrapFlow is a tool to assist your operations and is not a substitute for professional accounting, legal, or compliance advice.
9. Limitation of Liability
To the maximum extent permitted by law, ScrapFlow, its owners, employees, and suppliers shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity, arising out of or in connection with your use of, or inability to use, the Service. This applies even if we have been advised of the possibility of such damages and regardless of whether the claim is based on contract, delict, negligence, or any other legal theory.
Without limiting the above, we are not liable for losses arising from: software errors, bugs, downtime, or malfunctions; loss or corruption of data; incorrect data entered by you or your users; reliance on reports or calculations generated by the Service; or interruptions caused by internet, hardware, or third‑party services.
To the extent any liability cannot be excluded, our total aggregate liability arising out of or relating to the Service is limited to the amount of subscription fees actually paid by you to ScrapFlow in the three (3) months immediately preceding the event giving rise to the claim.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including any rights you may have under the South African Consumer Protection Act where it applies to you.
10. Indemnity
You agree to indemnify and hold harmless ScrapFlow and its owners and employees from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from your use of the Service, your Customer Data, your breach of these Terms, or your breach of any applicable law.
11. Suspension and Termination
You may cancel your subscription at any time; cancellation takes effect at the end of your current paid billing period. We may suspend or terminate your access if you breach these Terms, fail to pay fees when due, or use the Service in a manner that poses a risk to us or other users.
On termination, your right to access the Service ends. We may delete Customer Data after a reasonable period following termination. You are encouraged to export or record any data you need before your subscription ends.
12. Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will update the “last updated” date above and, where reasonable, notify you. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
13. Governing Law
These Terms are governed by and construed in accordance with the laws of the Republic of South Africa, and you submit to the non‑exclusive jurisdiction of the South African courts in respect of any dispute arising from these Terms or the Service.
